1. Our Services

OneHuman provides two core services:

• Safety App: A mobile application that enables users to instantly alert their trusted personal network with their live GPS location in situations where they feel unsafe. The Safety App also provides event organisers with a live dashboard to monitor guest check-ins, arrivals, and safety alerts at events.
• Creative Platform (Coming Soon): A marketplace and community space for artists, designers, and makers to share and monetise their creative work.

The Services are intended for users located in the United Kingdom and internationally. Users who access the Services from other jurisdictions do so on their own initiative and are solely responsible for compliance with local laws.

2. Intellectual Property Rights

Our intellectual property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

The OneHuman trademark is registered in the United Kingdom for SaaS services (Class 42) and related goods. Our Content and Marks are protected by copyright and trademark laws and treaties worldwide.

The Content and Marks are provided through the Services for your personal, non-commercial use or internal business purposes only.

Your use of our Services

Subject to compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and use them for their intended purposes. No part of the Services, Content, or Marks may be copied, reproduced, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.

Your submissions

By submitting questions, feedback, suggestions, or other information to us about the Services ("Submissions"), you agree that we may use such Submissions for any lawful purpose without acknowledgement or compensation to you. You retain ownership of your personal data as described in our Privacy Policy.

3. User Representations

By using the Services, you represent and warrant that:

• You are at least 18 years of age, or are using the Services under the supervision of a parent or legal guardian;
• You have the legal capacity to agree to these Legal Terms;
• You will not access the Services through automated or non-human means;
• You will not use the Services for any illegal or unauthorised purpose;
• Your use of the Services will not violate any applicable law or regulation;
• All information you provide to us is true, accurate, current, and complete;
• You will only add individuals to your trusted safety circle who have given you their consent to receive safety alerts from you.

4. User Registration

You may be required to register an account to access certain features of the Services. You agree to keep your password confidential and are responsible for all activity that occurs under your account. We reserve the right to remove, reclaim, or change a username we determine is inappropriate, obscene, or otherwise objectionable.

You must notify us immediately at onehuman116@gmail.com if you suspect any unauthorised use of your account.

5. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to:

• Trigger false safety alerts or misuse the alert system to harass, alarm, or distress other users or their contacts;
• Add individuals to your trusted safety circle without their knowledge or consent;
• Use the Services to stalk, monitor, or track any person without their explicit consent;
• Trick, defraud, or mislead us or other users, especially in any attempt to obtain sensitive account information;
• Circumvent, disable, or interfere with security-related features of the Services;
• Use any information obtained from the Services to harass, abuse, or harm another person;
• Use the Services in a manner inconsistent with any applicable law or regulation;
• Upload or transmit viruses, Trojan horses, or other malicious material;
• Engage in automated use of the system, including scripts, data mining, or scraping tools;
• Attempt to impersonate another user or use another user's username;
• Use the Services to conduct any form of commercial surveillance or tracking without appropriate legal basis;
• Reproduce, duplicate, copy, or sell any part of the Services without our express written permission;
• Disparage, tarnish, or otherwise harm the reputation of OneHuman or THEONEHUMAN LTD.

6. Safety Alert Feature

How the feature works

When you activate a safety alert, your name and live GPS location are broadcast to your pre-designated trusted contacts via push notification and SMS. Event organisers using the platform may also receive alert notifications relevant to their registered event.

Your responsibilities

• You are solely responsible for ensuring that all individuals you add to your trusted safety circle have consented to receive your safety alerts and location data;
• You must not use the alert feature frivolously, as a test without informing your contacts, or in any way designed to cause unnecessary alarm;
• You acknowledge that alert delivery depends on mobile network availability, device settings, and third-party SMS providers, and that delivery cannot be guaranteed in all circumstances.

Limitation of safety obligations

Event organisers

Event organisers who use the OneHuman dashboard acknowledge that the platform is an awareness and communication tool only. Organisers retain sole responsibility for the safety of attendees at their events and for any decisions made regarding escalation to emergency services.

7. User Generated Contributions

The Services may in future allow users to create, submit, post, display, or share content, including on the Creative Platform. Any content you submit must be your own original work or content you have the right to share, and must not infringe the intellectual property rights of any third party.

You retain ownership of any original creative work you upload to the Creative Platform. By uploading, you grant us a non-exclusive licence to display and distribute your work within the platform for the purposes of providing the Services.

8. Services Management

We reserve the right to monitor the Services for violations of these Legal Terms, take appropriate legal action against anyone who violates the law or these Terms, refuse, restrict, or terminate access to the Services at our sole discretion, and manage the Services in a manner designed to protect our rights and property and ensure proper functioning.

9. Term and Termination

These Legal Terms remain in full force while you use the Services. We reserve the right to deny access to and use of the Services, including blocking certain IP addresses, to any person for any reason or for no reason, including for breach of any representations, warranties, or covenants in these Legal Terms.

If we terminate or suspend your account, you are prohibited from registering a new account under your name, a fake name, or the name of any third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action including seeking civil, criminal, and injunctive redress.

You may delete your account at any time by contacting us at onehuman116@gmail.com. Upon deletion, your personal data will be removed from our systems in accordance with our Privacy Policy and applicable law.

10. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice.

We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times due to hardware, software, or other problems, or the need to perform maintenance.

11. Governing Law

These Legal Terms are governed by and construed in accordance with the laws of England and Wales. THEONEHUMAN LTD and yourself irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

If you are a consumer located in Scotland or Northern Ireland, you may also be entitled to bring proceedings in the courts of your country of residence.

12. Dispute Resolution

Informal Negotiations

To expedite resolution and minimise the cost of any dispute, we ask that before initiating any formal proceedings you first contact us at onehuman116@gmail.com and attempt to resolve the matter informally. We will endeavour to respond within 14 days. Both parties agree to negotiate in good faith for at least 30 days before initiating any formal legal proceedings.

Formal Proceedings

If informal resolution is not possible, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, as set out in section 11 above.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

13. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranties or representations about the accuracy or completeness of the Services' content or the content of any linked websites. We will not be liable for any errors or omissions in content, any unauthorised access to or use of our secure servers, any interruption or cessation of transmission to or from the Services, or any bugs, viruses, or other harmful code transmitted through the Services.

We do not warrant that the Services will be uninterrupted, error-free, or that any defects will be corrected.

14. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THEONEHUMAN LTD OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

In particular, and without limiting the above, we shall not be liable for:

• Any failure of a safety alert to be delivered due to network outages, device issues, or third-party SMS provider failures;
• Any harm, injury, or loss resulting from reliance on the OneHuman safety app as a substitute for contacting emergency services;
• Any harm resulting from a delayed, missed, or unacknowledged safety alert;
• Any loss of data, revenue, profits, or goodwill arising from your use of the Services.

Where liability cannot be excluded by law, our total aggregate liability to you shall not exceed the amount you have paid to us in the twelve months preceding the event giving rise to the claim, or £100, whichever is greater.

Nothing in these Legal Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

15. Indemnification

You agree to defend, indemnify, and hold harmless THEONEHUMAN LTD, its directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Legal Terms or your use of the Services, including but not limited to your Submissions, any misuse of the safety alert feature, or any breach of your representations and warranties in these Terms.

16. User Data

We will maintain certain data you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

Your use of the Services and our collection and processing of your personal data is governed by our Privacy Policy, which is incorporated into these Legal Terms by reference.

17. Electronic Communications

By using the Services, you consent to receive electronic communications from us, including emails, push notifications, and SMS messages relating to the Services. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

You may unsubscribe from marketing communications at any time by clicking the unsubscribe link in any marketing email or by texting STOP to any marketing SMS. You cannot opt out of service-critical communications such as safety alert notifications, as these are essential to the functionality of the app.

18. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and THEONEHUMAN LTD. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.

If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions.

We reserve the right to update these Legal Terms at any time. We will indicate the date of the most recent update at the top of this document. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.

These Legal Terms do not create any partnership, joint venture, employment, or agency relationship between you and THEONEHUMAN LTD.

19. Regional Notices

Canadian Users

If you are located in Canada, we may process your information if you have given us express or implied consent for a specific purpose, or where processing is permitted by applicable law without consent. You may withdraw consent at any time by contacting us, subject to legal or contractual restrictions.

California Residents — Shine the Light

California Civil Code Section 1798.83 permits California residents to request, once per year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes in the preceding calendar year. US State Privacy Rights

Residents of California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Rhode Island, Tennessee, Texas, Utah, and Virginia may have specific rights regarding their personal information including the right to access, correct, delete, and opt out of certain processing.
